Entire Agreement: This agreement contains the entire understanding between Katelyn Wollet LLC (Katelyn Wollet Photography, KWP) and the CLIENT. It supersedes all prior and simultaneous agreements between the parties. The only way to add or change this agreement is to do so in writing, signed by all the parties. If the parties want to waive one provision of this agreement that does not mean that any other provision is also waived. The party against whom a waiver is sought to be effective must have the waiver in writing.
1. PAYMENT: Session Fee – due at the end of session.
2. LIMITATION OF LIABILITY: While every reasonable effort will be made to create and deliver quality photographs, the entire liability of KWP to Client for any claim, loss, injury or damage arising or relating to this Agreement or the performance hereunder of any KWP, photographer, including the negligence KWP, is limited to a refund to Client of the amount received by KWP in connection with the session. KWP, its agents, employees, or assigns shall have no further liability with respect to this Agreement. This limitation on liability shall also apply in the event that photographic materials are damaged in processing, lost through camera malfunction, lost in shipping, or otherwise lost or damaged with or without fault on the part KWP. In the event that KWP fails to perform for any other reason, they shall not be liable for any amount in excess of the retail value of the Client’s order. KWP will follow house rules of location management. Client agrees to accept the technical results of the location’s imposition on the photographer (this includes location rules on photographer’s movement, position and lighting). Negotiation with the officials for modification of guidelines or venue rules is Client’s responsibility; KWP will offer technical recommendations only. No particular image is guaranteed.
3. DIGITAL DOWNLOADS/ FILES: Upon receipt of files via online gallery, Client accepts all responsibility for archiving and protecting the photographs. Client understands and acknowledges that KWP does not permanently archive image files. KWP is not responsible for the lifespan of any digital media provided or for any future changes in digital technology or media readers that might result in an inability to read files provided. It is Client's responsibility to make sure the digital files are copied to new media as required. KWP will only be responsible for storing the images for one year after Client's session.
4. WEATHER POLICY: In the event of weather conditions that are out of our control:
If the client has been contacted and advised to reschedule due to the photographer’s concerns about weather, and the client still proceeds with the session and it rains, limiting the time and or photos that were able to be taken, the client will be charged for an additional session at the photographer’s hourly rate to reschedule or shoot additional photos. Due to photography equipment, it is up to the photographer’s discretion if bad weather persists to cancel the session, during the session.
If the client has been contacted and advised to reschedule due to the photographer’s concerns about weather, and the client decides to go ahead and reschedule, the client will not be charged to do so. The client will then be put on first alert for their session and able to have their session even on non-session days.
5. APPEARANCE: In the event that the client would like additional photos due to appearance out of our control (hair/makeup, etc.) in the previous session, the client will be charged for an additional session at the photographer’s hourly rate to reschedule or shoot additional photos.
Locations: If you have more than one location for your session, the travel time going from destination 1 to destination 2 and so forth does count towards the total amount of the session time. You will also need to secure your own transportation, as I cannot give rides.
6. LOCATION ACCESS AND FEES: If the client wants to do a session at a location that charges for access, the client will be responsible to cover fees associated with shooting there. They are also responsible for organizing the access and any permits related to doing so.
7. OUTFITS: If your session includes two outfits, the amount of time it takes to change into those outfits does count towards the total amount of the session time.
8. TARDINESS: In the event that the client is late to the appointment set, the client’s session will still be for the same scheduled ending time.
9. COOPERATION: The parties agree to positive cooperation and communication for the best possible result within the definition of this assignment. KWP is not responsible for key individuals’ failure to be present or to cooperate during photography sessions, neither for missed images due to details not revealed to KWP. The Parties understand and agree that KWP will only take direction from Client during the event, unless otherwise noted before the event date.
10. MODEL RELEASE: In exchange for consideration received, Client hereby give permission to KWP, its legal representatives and assigns, to use and publish their names and photographic likeness(es) in any and all forms and media for advertising, editorial, trade, and any other lawful purposes, and to alter and copyright the same without restriction. By signing this Agreement, all guests, invitees, family, and friends who attend Client’s session agree to be bound by this model release as well. Please contact me if you would not like your images to be shared.
11. ARTISTIC LICENSE: KWP shall be granted artistic license in relation to poses and locations used. KWP’s judgement regarding the location, poses and number of photographs taken shall be deemed correct. KWP reserves the right to refuse a requested location for any reason.
12. EDITING: You will receive final, edited photos. Do not edit the photos any further. If you need basic adjustments (exposure, temperature) please contact me. If you would like further edits like blemishes, photos can be re-touched on a $15/ photo basis.
13. FEDERAL COPYRIGHT LAWS: The Parties understand and agree that KWP owns all copyrights for any and all photographs, digital negatives, prints, or images produced in connection with this Agreement, including the exclusive right to reproduce or publicly display such images. As author of all images made hereunder and as provided by law, KWP shall retain the copyrights in perpetuity, regardless of possession or ownership of photographs, digital files, or any other format of reproduction. Client recognizes and agrees that KWP may reproduce, publish, exhibit and otherwise use any images created hereunder, without specific identification of persons or events, as samples of their work to be shown to prospective clients, and for instructional or institutional purposes including use in conjunction with televised or published interviews, consistent with the highest standards of taste and judgment. Client agrees to indemnify and hold KWP harmless against any and all claims arising from KWP’s performance under this Agreement.
Notwithstanding the foregoing, upon final payment by Client and completion of the services described by this Agreement, limited copyright ownership of the resulting images will be transferred to Client under the following conditions: PERMITTED USES: KWP and Client shall have the right to use images as follows: (a) Client may reproduce images created hereunder for (1) personal, non-commercial use including the reproduction of copies for family, friends, and personal web publication (i.e. blogs, social media, etc.) and (2) the publication for graduation-related newspaper announcements or articles provided that images carry a copyrighted credit line (© Katelyn Wollet Photography, 2023 [or applicable year]). For images used on personal, non-commercial websites, KWP asks that a copyright notice appears near the images stating that they were taken by Katelyn Wollet Photography as well as a link to katelynwollet.com. In no event shall Client permit or assist in any commercial use or sale of the images without specific written consent of KWP.
14. COMPLETION SCHEDULE: Editing takes approximately two weeks, but may take longer. I will do my best to deliver your gallery before graduation, however it is not guaranteed. If you would like rush edits for an additional fee, please contact me.
15. MISCELLANEOUS: This is the complete agreement between the Parties concerning the subject matter hereof and all prior agreements are merged within. This is a State of Michigan agreement and is to be construed as such, without application of the principles of conflicts of law. Time is of the essence with respect to the Client’s obligations hereunder. If any dispute arises in connection with or relating to the Agreement or relating to a claim which arises hereunder, then the Parties agree that such claim shall be heard in the courts of Jackson County, Michigan, and the parties waive any defense of personal jurisdiction or lack of venue and consent to the personal jurisdiction of the said courts. Client assumes responsibility for all collection costs and legal fees incurred by KWP should enforcement of this Agreement become necessary. In the event any of this Agreement is found to be invalid or unenforceable, the remainder of this Agreement shall remain valid and enforceable.
THE FOREGOING IS UNDERSTOOD AND AGREED.
